Terms of Service

By creating an account, joining a workspace, or using NuvoPulse to create, host, or join a session, you agree to these Terms of Service. NuvoPulse is operated by Nuvo Innovations. If you do not agree to these Terms, you may not access or use the Service. These Terms are intended for a Canada-based service and do not exclude, restrict, or limit any mandatory rights or protections that may apply to you under applicable local law.

1. Service role

Software platform

NuvoPulse is a SaaS platform for live presentations, quizzes, surveys, and audience feedback. We provide tools to create activities, run sessions, collect participation, and review results.

No professional advice

NuvoPulse does not provide legal, financial, educational, medical, compliance, or professional advice. You remain responsible for how you use content, questions, results, exports, decisions, and action items created with the platform.

Service availability

We use reasonable efforts to keep the Service available, secure, and reliable, but we do not guarantee uninterrupted, error-free, or universally suitable service at all times. We may update, suspend, or limit features when needed for security, maintenance, compliance, or operational reasons.

2. Accounts and workspaces

Limited account information

You must provide accurate email, authentication, billing, and workspace information where required. Your display name may be a nickname, first name, business name, or other recognizable label; it does not need to be your legal name. It must not impersonate another person or mislead users in a harmful way. You are responsible for activity under your account and for ensuring that you have authority to use NuvoPulse on behalf of the organization or workspace you represent.

Security

You must protect your credentials, use strong passwords, and promptly notify us if you believe your account or workspace has been accessed without authorization. You may not share access in a way that bypasses workspace roles, billing limits, or security controls.

Workspace roles

Workspace owners control billing, invitations, workspace configuration, and certain security settings. Other members may be limited based on their role and the visibility rules enforced inside the product.

Participants and audience members

Participants may join sessions using a code, link, or QR code without creating a full presenter account. Presenters and workspace owners are responsible for giving participants appropriate context and notices for the session, especially if responses may be personal, sensitive, confidential, or used for follow-up decisions.

3. Acceptable use and hosted content

Prohibited content and conduct

You may not use NuvoPulse to publish, transmit, request, or store content that is illegal, harassing, hateful, deceptive, defamatory, malicious, privacy-invasive, or infringing on another person’s rights.

Platform abuse

You may not disrupt sessions, evade plan limits, automate unauthorized actions, attempt to access data without permission, interfere with security controls, scrape the Service in an abusive way, or use the platform for spam, fraud, phishing, malware, or impersonation.

Responsibility for content

You remain responsible for the slides, questions, media, images, imports, participant responses, exports, notes, decisions, and action items that you create, upload, invite others to submit, or share using NuvoPulse.

User-uploaded images and media

You are responsible for any images or media you upload, select, link, reuse, or display through NuvoPulse. You represent that you have the rights, permissions, notices, and consents needed to upload, store, process, display, and share that media, and that the media does not violate law, privacy, confidentiality, intellectual property, publicity, data protection, contract, or other third-party rights.

Cloudflare R2 storage

Cloudflare R2 is used as storage infrastructure. Storing an image in R2 does not transfer upload responsibility to NuvoPulse or make NuvoPulse the owner, author, or publisher of user-uploaded media. NuvoPulse may process or store that media only to operate the Service, enforce these Terms, respond to reports, and comply with law.

No general monitoring obligation

NuvoPulse does not pre-screen every uploaded image or item of user content and is not responsible for verifying the accuracy, legality, ownership, permissions, or suitability of user-uploaded media. We may scan, block, quarantine, remove, disable access to, or delete media when we believe it violates these Terms, creates legal or security risk, exceeds plan limits, or must be restricted under applicable law.

Illegal content reports

If you believe content on NuvoPulse is illegal or violates these Terms, you may report it by emailing hello@nuvopulse.com. Where applicable, including under European online safety rules, we may ask for enough information to identify the content, understand the concern, and contact the reporter about the outcome.

4. Intellectual property

Your content

You retain your rights to the content you upload or create in NuvoPulse. You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, display, reproduce, transform for technical optimization, back up, and make that content available only as needed to operate, secure, support, and improve the Service, including through infrastructure providers such as Cloudflare R2 or successor storage providers.

Participant content

If you invite participants to submit responses, questions, comments, votes, or other content, you are responsible for having the permissions and notices needed to collect and use that content in your session and workspace.

Image claims and uploader responsibility

To the fullest extent permitted by law, you are responsible for claims, complaints, losses, costs, and expenses caused by images or media you upload, select, link, reuse, display, or ask others to submit through NuvoPulse. Business users and workspace owners are responsible for resolving claims from their own audiences, employees, contractors, students, clients, licensors, or rights holders when those claims arise from workspace content or upload decisions.

Our platform

NuvoPulse, its interface, components, code, branding, documentation, templates, and system-generated sample materials remain the property of Nuvo Innovations or its licensors. No ownership is transferred to you beyond a limited right to use the Service under these Terms.

5. Subscription, suspension, and termination

How plans work

Certain features depend on the workspace subscription, including open session limits, participant caps, storage allowances, media uploads, and concurrent session slots. Those limits are enforced server-side.

Suspension, media removal, or closure

We may suspend or terminate accounts, workspaces, content, media uploads, image library access, or sessions for non-payment, abuse, fraud, security incidents, legal risk, storage abuse, unlawful media, rights complaints, or material violations of these Terms. Where required by law, we will provide the reason and available review or appeal options.

Your right to stop using the service

You may stop using NuvoPulse at any time. Ending a subscription does not automatically erase data or obligations that already existed before the end date. Deletion and export options may be limited by security, billing, legal, backup, or technical retention needs.

6. Regional and mandatory rights

Mandatory local rights

Nothing in these Terms limits rights that cannot legally be waived under the laws that apply to you. This may include consumer protection, data protection, digital services, accessibility, and unfair contract rules in the EU, EEA, UK, Switzerland, Canada, or your local jurisdiction.

Business and consumer use

NuvoPulse is primarily designed for organizations, teams, presenters, educators, and event hosts. If you use NuvoPulse as a consumer in a jurisdiction with mandatory consumer rights, those rights continue to apply even if these Terms describe a different default rule.

European users

For users in Europe, additional rules may apply to privacy, online content reporting, contract transparency, digital services, cancellation, withdrawal, and dispute handling. We will interpret these Terms consistently with applicable mandatory European law where it applies to the Service. Tax collection is addressed separately in the Payment Terms under Canadian sales-tax rules.

7. Governing law

Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, except where mandatory law requires otherwise. If a local law gives you mandatory rights or requires a different forum, nothing in this section overrides those protections.

Changes to these Terms

We may update these Terms from time to time. Material updates will be reflected by the last updated date and, where required, additional notice inside the Service or by email. Continued use after an update means you accept the updated Terms, except where law requires a different consent process.
