Payment Terms

NuvoPulse is operated by Nuvo Innovations and uses a workspace subscription model. These Payment and Subscription Terms explain how trials, subscription plans, renewals, cancellations, refunds, Canadian taxes, and service limits are handled. Nothing in these terms limits any mandatory payment, cancellation, refund, or consumer protection rights that may apply to you under your local law.

1. Billing model

Workspace subscriptions

NuvoPulse billing is attached to a workspace. The active plan determines how many open sessions, participants, storage allowances, session slots, and media features are available.

Business and organization use

Subscriptions are generally intended for workspace owners, organizations, teams, presenters, educators, event hosts, and similar professional or organizational users. The person starting a paid subscription represents that they have authority to bind the workspace to the subscription.

Free trial

If a free trial is offered, it may include specific limits such as fewer sessions, smaller participant caps, disabled image uploads, or reduced storage. When the trial ends, some features may be restricted until a paid plan is activated.

2. Payment processing

Stripe or designated provider

Subscription payments are processed by Stripe or another designated payment provider. NuvoPulse does not store full payment card numbers on its own servers. The payment provider may process payment details under its own terms and privacy notice.

Billing information

You must provide accurate billing, Canadian tax, and contact information and keep your payment method current. Failed payments may result in retry attempts, restricted access, downgrade, suspension, or cancellation of paid features.

Invoices and records

Invoices, receipts, tax records, and subscription history may be retained as required for accounting, tax, compliance, audit, dispute resolution, and fraud prevention purposes.

3. Renewal and cancellation

Automatic renewal

Subscriptions renew according to the billing period you selected unless they are cancelled or changed before the next billing date. The checkout or billing portal should show the plan, billing interval, quantity, currency, and applicable charges before confirmation.

Cancellation

You may stop future renewal of your subscription through the available billing interface or by contacting support when self-service cancellation is unavailable. Cancellation does not automatically refund charges already incurred for an active billing period unless required by law or expressly approved by NuvoPulse.

Effect of cancellation

After cancellation, the workspace may keep access until the end of the paid period, then move to a limited, draft, or unpaid mode. Some live sessions, uploads, storage, exports, or participant capacity may be restricted after the paid period ends.

4. Limits and enforcement

Plan limits

Plan limits may include maximum open sessions, participants per session, active session slots, workspace storage, image uploads, and concurrent sessions per member.

Server-side enforcement

These limits are enforced server-side. If a limit is reached, NuvoPulse may prevent new session starts, participant joins, exports, feature usage, or additional media uploads.

Plan changes

If you upgrade, downgrade, add session slots, or change billing intervals, the payment provider may calculate prorations, credits, or immediate charges depending on the subscription settings shown at checkout or in the billing portal.

5. Refunds and service issues

Refund policy

Except where required by law, subscription fees that have already been billed are non-refundable. Exceptional cases, billing mistakes, duplicate charges, or major service issues may be reviewed at NuvoPulse’s discretion.

Service interruptions

Temporary downtime, maintenance, third-party outages, or feature limitations do not automatically create a refund right unless required by applicable law or expressly stated in a separate written agreement.

Chargebacks

If you dispute a charge with your payment provider, we may need to suspend billing-related features while the dispute is investigated. Contacting support first can often resolve billing issues faster.

6. European consumer rights

Mandatory rights preserved

If you use NuvoPulse as a consumer in the EU, EEA, UK, Switzerland, or another region with mandatory consumer laws, nothing in these Payment Terms limits rights that cannot legally be waived.

Digital services and withdrawal

European consumer laws may provide a withdrawal or cancellation period for certain distance contracts. However, rules for digital services, immediate access, subscription performance, free trials, and business purchases can differ by country and situation. We will apply any mandatory withdrawal, cancellation, refund, or information rights that legally apply to your purchase.

Pre-contract information

Before a paid checkout is completed, the checkout flow or billing portal should show key subscription information such as price, currency, billing interval, quantity, Canadian taxes if calculated, renewal terms, and the main service limits. Keep a copy of your invoice or receipt for your records.

7. Canadian taxes and responsibility

Canadian taxes

NuvoPulse is operated from Canada. Applicable taxes are calculated under Canadian federal, provincial, and territorial sales-tax rules, including GST/HST and, where applicable, PST/RST/QST or similar Canadian taxes. The amount charged may depend on your billing address, place of supply, customer status, tax registration details, and applicable exemptions.

Tax calculation and records

Our payment provider may collect billing address, tax IDs, or exemption information when needed to calculate Canadian sales taxes, issue invoices or receipts, and support our Canadian tax and accounting records. NuvoPulse does not provide tax advice.

Workspace responsibility

The workspace owner is responsible for managing the subscription, billing details, tax information, payment method, invited users, and internal approvals for their organization.
